Why the register entry alone is not enough
In Montenegro, a company can be formally registered and still come to a standstill in everyday life: because roles are unclear, documents do not match, the bank requires further evidence or follow-up tax issues only become apparent after the fact.
ekosphere therefore views the formation as a setup. Before filing, the purpose, shareholders, management, powers of attorney, registered office, status of documents and follow-up questions are organized in such a way that the register, bank and ongoing administration do not work against each other.
In particular, the following are clarified before the company is founded:
- Company purpose: What function should the DOO fulfill?
- Roles: Who is a shareholder, managing director, representative or authorized agent?
- Documents: Which documents are available, which need to be notarized, translated or supplemented?
- Registerability: Are the application, articles of association, resolutions, powers of attorney and supporting documents consistent?
- Connectivity: What is needed after registration for account, tax, accounting and operations?
Note: Official information for registration includes the founding decision, articles of association, proof of fees paid, power of attorney for representation and the uniform registration application. Documents must be submitted as originals or certified copies. The specific dossier logic depends on the individual case.
