They form the contractual framework for\r\n <strong>real estate brokerage<\/strong>, <strong>construction and work services<\/strong>, <strong>consulting<\/strong>,\r\n <strong>company formations<\/strong>, <strong>administrative support<\/strong>, <strong>coworking<\/strong> and support\r\n with <strong>residence and work permits<\/strong>. \r\n      <\/p>\r\n\r\n      <ul class=\"ek-list\">\r\n        <li><strong>Status:<\/strong> May 2026.<\/li>\r\n        <li><strong>Function:<\/strong> Framework for performance, remuneration, cooperation, processing, liability, data     <h2 id=\"ek-agb-ueberblick\">AGB at a glance<\/h2>\r\n\r\n      <p class=\"ek-services-intro-text\">\r\n  These GTC do not describe service packages, but the contractual logic behind them:\r\n <strong>which role ekosphere assumes<\/strong>, <strong>what is remunerated separately<\/strong>,\r\n <strong>which cooperation is required<\/strong> and <strong>which decisions by third parties are beyond ekosphere's control<\/strong>.\r\n      <\/p>\r\n\r\n      <div class=\"ek-nav-grid\" aria-labelledby=\"ek-agb-ueberblick\">\r\n        <article class=\"ek-card\">\r\n          <h3>Scope of application \/ roles<\/h3>\r\n          <p>\r\n  Depending on the assignment, ekosphere can advise, coordinate, mediate, prepare or perform itself.\r\n  The respective confirmed agreement is decisive.\r\n          <\/p>\r\n          <ul class=\"ek-list ek-list--success\">\r\n            <li><strong>Not automatic:<\/strong> Not every activity is an obligation to succeed.<\/li>\r\n            <li><strong>Separation:<\/strong> Own services, brokerage and third-party services remain separate.<\/li>\r\n            <li><strong>Protective provisions:<\/strong> Mandatory rights of consumers and clients remain unaffected.<\/li>\r\n          <\/ul>\r\n        <\/article>\r\n\r\n        <article class=\"ek-card\">\r\n          <h3>Price \/ Billing<\/h3>\r\n          <p>\r\n  The stated prices, price ranges or the offer confirmed in writing shall apply.\r\n  In the case of real estate brokerage, the commission rules of these GTC also apply.\r\n          <\/p>\r\n          <ul class=\"ek-list ek-list--success\">\r\n            <li><strong>Additional work:<\/strong> Extensions, re-work and new issues are released separately.<\/li>\r\n            <li><strong>Due date:<\/strong> according to offer \/ invoice, otherwise within 7 calendar days.<\/li>\r\n            <li><strong>Partial billing:<\/strong> services already provided can be billed.<\/li>\r\n          <\/ul>\r\n        <\/article>\r\n\r\n        <article class=\"ek-card\">\r\n          <h3>Cooperation \/ Processing<\/h3>\r\n          <p>\r\n  Many services depend on documents, approvals, deadlines and decisions by the client.\r\n  If this cooperation is lacking, settlement may also be delayed.\r\n          <\/p>\r\n          <ul class=\"ek-list ek-list--success\">\r\n            <li><strong>Required:<\/strong> complete information, documents, powers of attorney and decisions.<\/li>\r\n            <li><strong>Consequence:<\/strong> Delays and additional costs may be attributable to the client.<\/li>\r\n            <li><strong>Third parties:<\/strong> Authority, bank, register and notary decisions are not guaranteed.<\/li>\r\n          <\/ul>\r\n        <\/article>\r\n\r\n        <article class=\"ek-card\">\r\n          <h3>Liability \/ Dispute avoidance<\/h3>\r\n          <p>\r\n  Liability depends on the type of service, breach of duty and legal framework.\r\n  Complaints must be made early, specifically and comprehensibly.\r\n          <\/p>\r\n          <ul class=\"ek-list ek-list--success\">\r\n            <li><strong>Third-party decisions:<\/strong> no liability for third-party decisions outside the company's own influence.<\/li>\r\n            <li><strong>Place of jurisdiction:<\/strong> Ulcinj, Montenegro, as far as legally permissible.<\/li>\r\n            <li><strong>Law:<\/strong> substantive law of Montenegro, unless mandatory protective provisions provide otherwise.<\/li>\r\n          <\/ul>\r\n <h2 id=\"ek-agb-volltext\">GTC 2026 \/ full text<\/h2>\r\n\r\n        <p><strong>Status:<\/strong> May 2026<\/p>\r\n\r\n        <h3 id=\"agb-1\">1. general and scope of application<\/h3>\r\n        <p>\r\n  These General Terms and Conditions apply to services and business areas of\r\n <strong>ekosphere doo<\/strong>, Bulevar Teuta bb, 85360 Ulcinj, Montenegro, PIB: 0317 1868,\r\n REG: 5081 9609, PDV: 82 \/ 31-02022-6.\r\n        <\/p>\r\n        <ul class=\"ek-list ek-list--success\">\r\n          <li>The GTC apply to inquiries, offers, appointment bookings, project processing, services as well as websites and online offers operated by ekosphere.<\/li>\r\n          <li>Deviating terms and conditions of the customer shall only apply if ekosphere expressly confirms them in text form.<\/li>\r\n          <li>Mandatory statutory provisions, in particular in favor of consumers, remain unaffected.<\/li>\r\n          <li>If a provision only applies to entrepreneurs or consumers, this must be indicated separately; in case of doubt, the legally permissible narrower interpretation shall apply.<\/li>\r\n        <\/ul>\r\n\r\n        <h3 id=\"agb-2\">2. contracting parties \/ consumer \/ entrepreneur \/ text form<\/h3>\r\n        <ul class=\"ek-list ek-list--success\">\r\n          <li>A <strong>consumer<\/strong> is a natural person who concludes a legal transaction predominantly outside their commercial or independent professional activity.<\/li>\r\n          <li>An <strong>entrepreneur<\/strong> is a natural or legal person or a partnership with legal capacity who is acting commercially or independently professionally when the contract is concluded.<\/li>\r\n          <li><strong>Text form<\/strong> includes, in particular, e-mail, confirmed messenger messages, electronically signed documents or other documentable electronic communication, unless a stricter form requirement applies.<\/li>\r\n          <li>Changes to the scope of services, price, deadlines or responsibilities must at least be made in text form.<\/li>\r\n        <\/ul>\r\n\r\n        <h3 id=\"agb-3\">3. subject matter of the contract and service description<\/h3>\r\n        <p>ekosphere doo provides services in the following areas in particular:<\/p>\r\n        <ul class=\"ek-list ek-list--success\">\r\n          <li>Real estate brokerage, buying, selling and renting<\/li>\r\n          <li>Construction services, construction coordination, contracts for work and project management<\/li>\r\n          <li>Consulting, location consulting, relocation and structural review<\/li>\r\n          <li>Company foundations, company migration, market launch and connection setups<\/li>\r\n          <li>Administrative, accounting and organizational support<\/li>\r\n          <li>Support with residence and work permits<\/li>\r\n          <li>Test, dossier, risk, setup and on-site formats<\/li>\r\n          <li>Online platforms, branding, campaign planning, virtual office, architectural services and coworking<\/li>\r\n        <\/ul>\r\n        <p>\r\n  The scope of services, time frame, place of performance, role of ekosphere and fee result from the individual\r\n agreement, the written offer, the confirmed booking or the project agreement.\r\n        <\/p>\r\n        <p>\r\n  Descriptions on websites, landing pages, PDFs, offer blocks or presentations serve as orientation.\r\n  They do not replace a concrete mandate definition.\r\n        <\/p>\r\n\r\n        <h3 id=\"agb-4\">4. delimitation of roles \/ own services \/ mediation \/ third-party services<\/h3>\r\n        <ul class=\"ek-list ek-list--success\">\r\n          <li>ekosphere can perform, mediate, coordinate, steer or provide preparatory advice.<\/li>\r\n          <li>Contact mediation, scheduling, pre-sorting of documents or communication structuring do not automatically mean that ekosphere owes the third-party service itself.<\/li>\r\n          <li>Notaries, lawyers, <a href=\"https:\/\/ekosphere.me\/en\/?page_id=1010403\">certified translators<\/a>, accountants, engineers, architects, banks, authorities, registration offices, insurers, construction companies, craftsmen, transporters and other external partners remain independent service providers, unless otherwise agreed.<\/li>\r\n          <li>ekosphere shall only be liable for the content, duration, availability, decision or errors of such third parties if ekosphere itself has culpably caused the error or has expressly assumed its own guarantee in text form.<\/li>\r\n        <\/ul>\r\n\r\n        <h3 id=\"agb-5\">5. prices \/ price quotations \/ relevant price basis<\/h3>\r\n        <p>\r\n  The prices, price ranges, packages or\r\n program logics published on the appropriate service subpage in the version current at the time of the inquiry shall apply, unless a different offer has been confirmed in writing.\r\n        <\/p>\r\n        <ul class=\"ek-list ek-list--success\">\r\n          <li>Prices can be shown as a fixed price, entry price, price range, package price or price on request.<\/li>\r\n          <li>The service subpage attributable to the order or the individually confirmed offer shall be decisive.<\/li>\r\n          <li>In the event of a contradiction between the underside and the individual offer, the confirmed individual offer shall take precedence.<\/li>\r\n          <li>For real estate brokerage and real estate-related transactions, the price and commission rules set out in section 10 shall also apply.<\/li>\r\n        <\/ul>\r\n\r\n        <h3 id=\"agb-6\">6. remuneration \/ additional expenses \/ supplements<\/h3>\r\n        <ul class=\"ek-list ek-list--success\">\r\n          <li>Payment is made for the commissioned service, not for a subjectively expected overall result, unless an express obligation to succeed has been agreed.<\/li>\r\n          <li>Additional expenses due to new circumstances, additional persons, additional objects, new documents, translations, re-work, additional appointments, on-site travel, additional demands from authorities, bank queries or other extensions shall be remunerated separately.<\/li>\r\n          <li>Addenda and service extensions can be released in text form.<\/li>\r\n          <li>Unless otherwise agreed, consulting, testing or coordination units that have been commenced shall be invoiced pro rata or according to the quotation logic.<\/li>\r\n          <li>Monthly services begin on the agreed start date; an extension only applies if it is stipulated in the offer.<\/li>\r\n        <\/ul>\r\n\r\n        <h3 id=\"agb-7\">7. due date \/ down payment \/ default<\/h3>\r\n        <ul class=\"ek-list ek-list--success\">\r\n          <li>Invoices are due on the date stated in the invoice or offer; in the absence of a special provision, within 7 calendar days of the invoice date.<\/li>\r\n          <li>ekosphere may make services dependent on reasonable down payments, partial payments or advances.<\/li>\r\n          <li>In the case of project-related implementation services, processing may be suspended until payment has been received.<\/li>\r\n          <li>In the event of default in payment, ekosphere may claim default interest, reminder costs and other damages caused by default in accordance with applicable law.<\/li>\r\n          <li>Rights of retention or set-off exist only with undisputed or legally established claims, insofar as legally permissible.<\/li>\r\n        <\/ul>\r\n\r\n        <h3 id=\"agb-8\">8 Appointments \/ Video calls \/ On-site appointments \/ Cancellation<\/h3>\r\n        <ul class=\"ek-list ek-list--success\">\r\n          <li>Booked appointments, video calls, test days, on-site inspections and fixed slots are reserved for the client.<\/li>\r\n          <li>If a confirmed appointment is postponed at short notice, canceled or made impossible by the client, ekosphere can charge for blocked expenses and preparation costs.<\/li>\r\n          <li>In case of doubt, a cancellation less than 24 hours before remote appointments and less than 72 hours before on-site appointments shall be deemed to be at short notice, unless otherwise agreed.<\/li>\r\n          <li>Any travel, preparation, organization or third-party costs incurred shall be reimbursed insofar as the client has caused them.<\/li>\r\n        <\/ul>\r\n\r\n        <h3 id=\"agb-9\">9. use of the websites and content<\/h3>\r\n        <ul class=\"ek-list ek-list--success\">\r\n          <li>Use of the websites is permitted provided that no unlawful purposes are pursued.<\/li>\r\n          <li>Texts, images, graphics, databases, concepts, reports, presentations, checklists, roadmaps and software may be protected by copyright or ancillary copyright.<\/li>\r\n          <li>Any use beyond the usual website retrieval or the contractually intended use requires prior consent in text form.<\/li>\r\n          <li>Internal documents, price sheets, dossiers, reports and contract documents may not be passed on to third parties, in particular competitors, without consent, unless there is a legal obligation to disclose them.<\/li>\r\n        <\/ul>\r\n\r\n        <h3 id=\"agb-10\">10. real estate brokerage and construction services<\/h3>\r\n        <p>\r\n  For the brokerage of third-party real estate, land and investments, a commission of\r\n <strong>3 % of the purchase price plus statutory PDV<\/strong> is regularly charged. This is based on a written\r\n brokerage or agency agreement. \r\n        <\/p>\r\n        <ul class=\"ek-list ek-list--success\">\r\n          <li><strong>Example &euro; 100,000:<\/strong> 3,000 &euro; commission + 21 % PDV = 3,630 &euro; total.<\/li>\r\n          <li><strong>Example &euro; 200,000:<\/strong> 6,000 &euro; commission + 21 % PDV = 7,260 &euro; total.<\/li>\r\n          <li><strong>Example &euro; 300,000:<\/strong> 9,000 &euro; commission + 21 % PDV = 10,890 &euro; total.<\/li>\r\n        <\/ul>\r\n        <p>\r\n  No additional brokerage commission is charged for properties from our own portfolio; the remuneration is regularly included in the property price or in a separate project logic at\r\n.\r\n        <\/p>\r\n        <ul class=\"ek-list ek-list--success\">\r\n          <li>Additional services such as dealing with authorities, re-registration, insurance advice, customs clearance, expansion planning, technical continuation, legal or special advice are not automatically included in the broker's commission.<\/li>\r\n          <li>The brokerage service generally ends with the contractually defined commission trigger; subsequent support is to be remunerated separately.<\/li>\r\n          <li>Property inspection, document review or purchase structuring without a brokerage mandate are not classic brokerage services and are billed separately.<\/li>\r\n          <li>Construction and work services are provided exclusively on the basis of individual construction, work or project contracts.<\/li>\r\n        <\/ul>\r\n\r\n        <h3 id=\"agb-11\">11. company start-ups \/ company migration \/ market launches<\/h3>\r\n        <ul class=\"ek-list ek-list--success\">\r\n          <li>New start-ups, shelf companies, structure checks, follow-up set-ups or operational support can be commissioned.<\/li>\r\n          <li>The scope and duration of a support package can be found on the respective service subpage or in the confirmed offer.<\/li>\r\n          <li>After the order has been placed, a down payment of 60% or another project-related advance payment may be due for implementation mandates.<\/li>\r\n          <li>Processing times depend on the industry, document situation, register status, bankability, availability of third parties and official situation and are not guaranteed periods.<\/li>\r\n          <li>Register structuring, fiscal setup, administration logic and connection services can be ordered separately or in combination.<\/li>\r\n        <\/ul>\r\n\r\n        <h3 id=\"agb-12\">12. accounting and administrative support<\/h3>\r\n        <ul class=\"ek-list ek-list--success\">\r\n          <li>Documents must be provided in full, truthfully, on time and in a comprehensible order.<\/li>\r\n          <li>Delayed, incomplete or incorrect information can cause delays, corrections, additional work and additional costs.<\/li>\r\n          <li>Ongoing accounting, special processing, administrative support and reconciliation support are separate service items and can be invoiced separately.<\/li>\r\n          <li>ekosphere shall not be responsible for any failure to meet deadlines due to late or incomplete cooperation on the part of the client.<\/li>\r\n        <\/ul>\r\n\r\n        <h3 id=\"agb-13\">13. residence and work permits \/ relocation<\/h3>\r\n        <ul class=\"ek-list ek-list--success\">\r\n          <li>ekosphere provides support with structuring, document logic, dossier review, scheduling, application preparation and procedural support.<\/li>\r\n          <li>Issuance, extension, rejection, subsequent request or change of status are decided exclusively by the competent authorities or other third parties.<\/li>\r\n          <li>A successful application, opening of an account, granting of a visa, recognition of residence or any other status decision is not guaranteed.<\/li>\r\n          <li>If agreed, the mandate may already be fulfilled when the preparation, dossier, submission readiness or application submission has been completed in accordance with the scope of services.<\/li>\r\n          <li>Complex cases with several persons, special constellations, family reference, company reference or change of status can be calculated differently.<\/li>\r\n        <\/ul>\r\n\r\n        <h3 id=\"agb-14\">14 Obligations of the client to cooperate<\/h3>\r\n        <ul class=\"ek-list ek-list--success\">\r\n          <li>The client shall provide the necessary information, documents, evidence, authorizations, decisions and feedback in a timely, complete and correct manner.<\/li>\r\n          <li>The client shall check drafts, checklists, overviews, offers, roadmaps, written submissions or submission documents for obvious errors, insofar as this is reasonable.<\/li>\r\n          <li>If necessary cooperation is not provided despite a request, ekosphere may postpone deadlines, suspend services or terminate the contract for good cause and charge for expenses incurred up to that point.<\/li>\r\n        <\/ul>\r\n\r\n        <h3 id=\"agb-15\">15. distance selling \/ start of service \/ consumer notice<\/h3>\r\n        <ul class=\"ek-list ek-list--success\">\r\n          <li>If contracts are concluded with consumers at a distance or outside of business premises, the mandatory consumer protection provisions shall apply in addition.<\/li>\r\n          <li>If ekosphere commences performance at the consumer's request before the expiry of statutory withdrawal or revocation periods, express consent to the premature commencement of performance may be required.<\/li>\r\n          <li>Properly rendered partial services, preliminary examinations, appointment reservations or individually prepared documents can be remunerated pro rata to the extent permitted by law.<\/li>\r\n        <\/ul>\r\n\r\n        <h3 id=\"agb-16\">16. complaints \/ notification of defects \/ approvals<\/h3>\r\n        <ul class=\"ek-list ek-list--success\">\r\n          <li>Complaints about invoices, reports, test results, dossiers, scheduling protocols or performance statuses must be reported in text form immediately after becoming known and must be specifically identified.<\/li>\r\n          <li>Generalized complaints without naming the defect or the affected service component are not sufficient.<\/li>\r\n          <li>Interim statuses, drafts or to-do logics shall be deemed approved if the client confirms them or continues further work on their basis without clearly objecting within a reasonable period of time.<\/li>\r\n        <\/ul>\r\n\r\n        <h3 id=\"agb-17\">17. liability<\/h3>\r\n        <ul class=\"ek-list ek-list--success\">\r\n          <li>ekosphere shall be liable without limitation for intent and gross negligence as well as in cases of mandatory statutory liability.<\/li>\r\n          <li>In the event of simple negligence, ekosphere shall only be liable in the event of a breach of material contractual obligations; in this case, liability shall be limited to the foreseeable damage typical for the contract.<\/li>\r\n          <li>No liability shall exist for decisions, processing times or errors of authorities, banks, notaries, courts, registers, translators, insurers or other third parties, unless ekosphere itself has culpably caused them.<\/li>\r\n          <li>There is no liability for loss of profit, indirect damage, consequential damage or loss of economic benefits, insofar as this is legally permissible and no essential contractual obligation is affected.<\/li>\r\n          <li>No liability shall exist insofar as damages are based on incorrect, incomplete, delayed or withheld information from the client.<\/li>\r\n        <\/ul>\r\n\r\n        <h3 id=\"agb-18\">18. data protection<\/h3>\r\n        <p>\r\n  Personal data is processed in accordance with the applicable data protection regulations.\r\n In addition, the <a href=\"https:\/\/ekosphere.me\/datenschutz\/\">ekosphere privacy policy<\/a> published on the websites applies.\r\n        <\/p>\r\n        <ul class=\"ek-list ek-list--success\">\r\n          <li>Data may be passed on to authorities, registration offices, banks, notaries, translators, accountants, project partners or other involved third parties to the extent required if this is necessary particular family members, employees or co-participants.<\/li>\r\n        <\/ul>\r\n\r\n        <h3 id=\"agb-19\">19 Place of jurisdiction and applicable law<\/h3>\r\n        <p>\r\n  The place of jurisdiction for disputes arising from or in connection with contractual relationships shall be <strong>Ulcinj, Montenegro<\/strong>, to the extent permitted by law\r\n. The substantive law of Montenegro\r\n shall apply, to the exclusion of conflict of laws rules, unless mandatory protective provisions provide otherwise. \r\n        <\/p>\r\n\r\n        <h3 id=\"agb-20\">20 PDV \/ Taxes<\/h3>\r\n        <p>\r\n  PDV stands for <em>Porez na dodatu vrijednost<\/em> \/ VAT according to Montenegrin tax law.\r\n If the regular standard rate is applicable, the PDV according to the current classification is\r\n <strong>21%<\/strong>.
